Prospective investors should hold accredited investor status and their financial condition should be such that they are able to bear the risk of holding the interest for an indefinite period of time and the risk of loss of the investment in the Company. Prospective investors should have such knowledge and experience in financial and business matters that they are capable of evaluating the merits and risks of acquisition of the Interest and of making an informed investment decision with respect thereto.
